Agreement
In order to use this site to register a domain name, you must agree to abide by these terms. To complete the registration process, you must read and agree to be bound by these terms, the accompanying fee schedule, the terms and conditions laid down by the Top Level Domain Registrars and the disputes policies laid down by the Top Level Domain Registrars.

Who we are
1. This site is run by Technology Matters Limited trading as QuidNames.Com, whose registered office is at 26 Arthur Road, Horsham, West Sussex RH13 5BQ, United Kingdom ( "QuidNames.Com", "We" or "Us").


Fees
2. In consideration of the domain name registration service provided by Us, you will pay all applicable registration fees and any taxes incurred thereon.


3. You acknowledge and agree that Local Registration Fees represent only the initial cost of registration and that continued use of a domain name is likely to expose You to additional charges payable on renewal or at other times stipulated by the Domain Name Authorities.

4. You agree to pay all renewal fees when they fall due. We will notify you when renewal registration fees are due, and it is your responsibility to ensure that such fees are paid. Should these fees go unpaid by the time specified in the renewal notice, your registration will be cancelled.

5. You agree that QuidNames.Com shall have no liability whatsoever with respect to any cancellation.


Service
6. QuidNames.Com agree to process Domain Name Registration Requests on Your behalf with the relevant Domain Name Authorities.

7. QuidNames.Com warrants that the Service will be provided with reasonable care and skill and in a professional and timely manner.

8. Notwithstanding Paragraph 6, You acknowledge and agree that the success or failure of domain name registration depends on factors outside QuidNames.Com's control, and that QuidNames.Com does not guarantee that Your Request will be successful. Our only obligation in relation to each Request shall be to use our reasonable endeavours to obtain registration of the domain name requested.

9. We reserve the right to refuse to process Requests submitted by the customer and also to refuse to continue processing with any Request previously accepted by QuidNames.Com, where such processing ( in QuidNames.Com's opinion) may expose QuidNames.Com to the risk of legal or other proceedings.

10. We also reserve the right to refuse to process Requests submitted by the customer where such processing ( in QuidNames.Com's opinion) may contravene the rules, regulations and policies laid down by the relevant Domain Name Authorities.

11. We do not guarantee that any domain names registered by you will be free and clear of intellectual property rights and claims by third parties, including rights and claims in respect to registered and unregistered trade marks, and that any domain name registered by QuidNames.Com on Your behalf may subsequently be challenged or cancelled by persons other than QuidNames.Com

12. QuidNames.Com make no warranties, express or implied in relation to all or part of the Service, including but not limited to implied warranties or conditions of accuracy, completeness, terms and undertakings, statutory or otherwise in respect to the provision or non-provision of the Service.


Use
13. You acknowledge and agree that data submitted by you pertaining to the registration of a domain name may be made available to other organisations and the public.

14. You warrant that all details submitted in respect of a domain name registration are true and correct and any alterations made after the initial registration will be also.

15. You agree not to submit any Requests in relation to domain names which You know, or should reasonably have known, infringes or might reasonably be considered to infringe the trademarks or rights of any third party.

16. You agree not to any QuidNames.Com service to store, reproduce, transmit or receive any material which is offensive, abusive, indecent, defamatory, obscene or menacing, or in breach of copyright, trademark or the rights of any third party.

17. You agree not to sell to any other person, or act as an agent for any other person, either directly or indirectly, the Domain Name service or any other service provided by QuidNames.Com


Indemnity
18. You shall indemnify and keep QuidNames.Com fully indemnified against all liability, claims, losses, costs, expenses, loss of profits, business interruption, and other indirect or consequential loss suffered or incurred by QuidNames.Com as a result of any breach of this agreement by You, your employees, and any person authorised by you or under your control.


Cancellation and Termination
19. You have the right to immediately terminate this agreement if :
  • QuidNames.Com commits any material breach of this Agreement and when notified of such breach, fails to remedy such breach within 14 days from the date of notification;
  • Verdant UK Limited becomes insolvent, ceases to trade or has a receiver appointed, or enters into an agreement with it's creditors to wind up, or is made bankrupt.


20. QuidNames.Com have the right to immediately terminate this agreement if :
  • You fail to pay QuidNames.Com the sums due by the due date;
  • You breach any of the Clauses 13 to 17 of these terms;
  • the supply of any QuidNames.Com service to you exposes, or may expose 9 in our opinion) QuidNames.Com to the risk of litigation or other proceedings;
  • You commit any material breach of this Agreement and when notified of such breach, fail to remedey such breach within 14 days from the date of notification;
  • You become insolvent, cease to trade or have a receiver appointed, or enter into an agreement with your creditos to wind up, or are made bankrupt;
  • You breach our Acceptable Use Policy or any Policy laid down by the relevant Domain Name Authorities from time to time;


Intellectual Property Rights
22. We or our licensors retain ownership of all intellectual property rights in the Site, and grant you a licence to view the Site, and to print and/or download a single copy of the Site’s content for your own private use. You may not make more copies of that content or exploit that content commercially without our consent.


Liability
23. WE MAKE NO WARRANTIES OR REPRESENTATIONS IN RESPECT OF ANY PURCHASES YOU MAY MAKE, AND EXCLUDE ALL LIABILITY IN RESPECT THEREOF.

24. ALTHOUGH WE WILL ENDEAVOUR TO ENSURE THE SMOOTH-RUNNING AND AVAILABILITY OF THE SITE, WE CANNOT BE RESPONSIBLE FOR ANY FAILURE TO DO SO. WE WILL NOT BE LIABLE TO YOU OR TO ANYONE ELSE FOR ANY DELAY, FAILURE OR ERROR IN ANY OTHER FUNCTION OF THE SITE INCLUDING (a) ANY LOSS OF REGISTRATION OF A DOMAIN NAME, (b) THE USE OF YOUR DOMAIN NAME, (c) ACCESS DELAYS OR ACCESS INTERRUPTIONS TO QUIDNAMES.COM'S REGISTRATION SYSTEM OR SYSTEMS OWNED AND/OR CONTROLLED BY DOMAIN NAME AUTHORITIES AND THEIR AGENTS, (d) NON-DELIVERY OR MISDELIVERY OF DATA BETWEEN YOU AND QUIDNAMES.COM OR BETWEEN QUIDNAMES.COM AND ANY OTHER PARTY, (e) EVENTS BEYOND QUIDNAMES.COM'S CONTROL, (f) THE PROCESSING OF YOUR REQUEST FOR DOMAIN NAME REGISTRATION, (g) THE PROCESSING OR MODIFICATION TO THE RECORD ASSOCIATED WITH YOUR DOMAIN NAME, (h) OR APPLICATION OF ANY DISPUTES POLICY LAID DOWN BY THE RELEVANT DOMAIN NAME AUTHORITIES.

25. IN NO CIRCUMSTANCES WILL WE BE LIABLE TO YOU FOR ANY INDIRECT OR CONSEQUENTIAL LOSS, HOWEVER CAUSED, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE.

26. Nothing in this agreement limits liability for death or personal injury caused by our negligence.

General
27. Any notice given under this agreement may be given by e-mail to the other party’s usual e-mail address and will be deemed given upon transmission.

28. This agreement is governed by English law, and any dispute may only be heard in the English Courts.
